1. Service Description
SpinLoud is a professional Brand Sound and radio service for businesses, operated by SpinLoud, Inc. ("SpinLoud", "we"). SpinLoud is a radioplayer — a smart radio player used to play radio channels inside venues. The channels themselves are independent broadcasts, produced and operated separately from the SpinLoud platform. The paid subscription that gives a venue access to the Service is called a SpinLoud Radio Membership ("Membership") in these terms.
2. Definitions
- Service — the SpinLoud platform: the player, account, and admin applications, the CherryPick module, and the spnBox device software.
- Venue — a single physical business location registered under your account.
- Zone — an independent playback area inside a Venue (e.g. main floor, patio, terrace).
- Membership — a per-Venue SpinLoud Radio Membership, purchased directly from SpinLoud.
- Channels — the radio broadcasts accessible through the Service, produced and operated independently of SpinLoud by licensed broadcasters.
- CherryPick — the table-side song request module; a Guest is a person who submits a request through it.
3. Account and Membership
You need an account to use SpinLoud services. Accounts are offered for business (B2B) use; the Service is not offered to consumers for personal listening. You are responsible for the confidentiality and security of your account credentials.
- A valid email address is required to create an account.
- A new password is emailed to you on every sign-in (passwordless system).
- You are responsible for all activity carried out via your account — including activity by team members you invite. The roles you assign (owner, brand manager, venue manager, staff) determine what they can do.
- You may not share your account with third parties outside your organization.
4. Subscription and Payment
Memberships are billed per Venue on a monthly or yearly basis. Payments are processed by Stripe.
- 7-day free trial — all venues share the same trial end date.
- If a payment method is on file at trial end, automatic billing starts.
- Cancellation takes effect at the end of the current period; trial cancellations are immediate.
- On failed payment, a 14-day grace period applies; if payment is not received within that time, playback stops.
- Resubscribing applies the current price; the 7-day trial is not re-issued.
- Each Venue is a separate Stripe subscription; if one Venue's payment fails, the others are not affected.
App stores: Memberships are purchased directly from SpinLoud. Apple, Google, and other app-store operators are not a party to your Membership, do not collect Membership fees, and bear no responsibility for the Service — including where you use SpinLoud through a mobile app.
5. Pricing
The standard plan is $49/month (tax exclusive); the annual plan is $490/year with 2 months free. Every Venue is charged the full applicable price; there is no multi-venue discount on the standard plan. A Custom Channel add-on is available as a separate subscription. Prices may be revised every July 1st; existing customers see the new price on their next renewal cycle. Chains and multi-location brands can contact us for a Custom plan.
6. What Your Membership Allows
Your Membership grants you a limited, non-exclusive, non-transferable and non-sublicensable right to play Channels through the Service as background music inside the single Venue the Membership was purchased for, in the Zones registered under that Venue.
- One Membership covers one Venue. Playback at any additional location — including branches, sister venues, and franchise locations — requires its own Membership.
- Playback is limited to the physical premises of the Venue. Retransmitting the broadcast beyond the premises — Internet re-streaming, telephone on-hold systems, loudspeakers aimed at public areas outside the venue, or off-site events — is not permitted.
- Recording, downloading, extracting, or archiving Channel audio is not permitted.
7. No Resale — Franchises and Chains
Memberships are sold for the subscriber's own Venues only. Reselling or redistributing the Service is not permitted.
- You may not resell, rent, lease, sublicense, or otherwise make the Service or your Membership available to any third party, whether or not for payment.
- Franchisors, buying groups, and agencies may not purchase Memberships and resell or re-price them to franchisees, members, or clients. Each operating company must hold its own Membership for its own Venues, unless a separate written reseller or enterprise agreement is in place with SpinLoud.
- Bundling the Service into another product or offer (e.g. "music included" packages) without SpinLoud's written consent is not permitted.
- SpinLoud may suspend or terminate, without refund, Memberships involved in unauthorized resale; unauthorized resale creates no rights for the receiving venue.

8. Music Licensing
SpinLoud is a radioplayer — a smart radio player, not a radio station. The radio channels available through the service are independent broadcasts, produced and operated separately from SpinLoud; responsibility for a broadcast's content and licensing lies with the respective broadcaster.
Venue registration: Businesses remain responsible for their own public performance registration with the relevant local rights organizations. SpinLoud does not provide that registration.
9. CherryPick and Guest Data
CherryPick lets Guests request songs by scanning the QR code inside a Venue. Guest trust is a condition of the feature:
- Guest data (email address, request history, verification status, and the approximate location used for the in-venue check) is processed only to operate CherryPick — verification, abuse prevention, queue management, and aggregated statistics.
- SpinLoud does not sell, rent, or transfer Guest data to third parties. Venues see the requested songs and aggregated statistics; Guests' contact details are not handed over to the Venue.
- Guest data is not used for third-party advertising and is retained no longer than needed for the purposes above. Details are in the Privacy Policy.
- Venues may not use CherryPick to collect or harvest Guests' contact information.
10. Acceptable Use
You may use SpinLoud only for lawful purposes and in accordance with these terms.
- You may not copy, redistribute, or reverse-engineer the service.
- You may not re-broadcast or record the radio channels.
- You may not circumvent role restrictions, playback gates, or other technical limits of the Service.
- The CherryPick song request module may not be used outside its intended purpose.
- You may not use SpinLoud trademarks, logos, or design elements without permission.
11. Intellectual Property
The SpinLoud name and logos, the applications, spnSound and SpnMix technologies, and all site and product content belong to SpinLoud or its licensors. Your Membership grants no rights beyond the limited license described in section 6. Any hardware supplied by SpinLoud (e.g. spnBox) is governed by the terms agreed at the time of supply.
12. Service Changes
SpinLoud reserves the right to change its services, channel catalog, pricing, and these terms with prior notice. Material changes are communicated by email at least 30 days before they take effect.
13. Warranty Disclaimer and Limitation of Liability
The Service is provided "as is". SpinLoud does not guarantee uninterrupted operation. We are not liable for outages caused by maintenance, infrastructure issues, or force majeure events. Our total liability for data loss, lost revenue, or indirect damages is limited to the last 12 months of subscription fees.
14. Suspension and Termination
SpinLoud may suspend or terminate accounts or Memberships that materially breach these terms — in particular the resale restrictions in section 7 and the licensing and acceptable-use rules — after notice where practicable. On termination, playback stops; provisions that by their nature should survive (intellectual property, limitation of liability, governing law) remain in effect.
15. Governing Law
Disputes arising from these terms are governed by the laws of the State of Delaware, United States and the competent courts therein, except where mandatory local consumer-protection law applies (e.g. Turkish residents may invoke İstanbul courts).
